The Terms of Service comprises:

2. 90Degree Member Terms and Conditions.

90Degree USER TERMS AND CONDITIONS

Please read the following Terms and Conditions carefully before using this Site and the Service. (both defined below) By using the Service, you agree to be legally bound by these terms and conditions, so that you are aware of your legal rights and obligation with respect to Inspired Publishing Private Limited. ("IP")

By accessing this Site and using the Service, you hereby agree to be legally bound by these User Conditions.  If you do not accept these User Conditions, please leave the Site and discontinue use of the Service immediately.

1. Definitions

"Account" means a registered account of a Member opened under this Site.

"Agreement" means the agreement formed by these User Conditions and in the case of a Member, by these User Conditions and the Member Conditions.

"Amendment" means any proposed amendment or revision of any Advertisement or Materials submitted to IP for publication or developing, designing and/ or hosting of Website

"Business day" means any day other than a Sunday or public holiday in Singapore.

"Computer" means your personal computer, notebook computer, personal digital assistant, mobile phone or other electronic device used to access this Site or the Services.

"Company" means Inspired Publishing Pte Ltd, a private company, registration number: 200713870R duly registered in terms of the laws of Accounting and Corporate Regulatory Authority of Singapore, carrying on business at 10 Winstedt Road Blk B #01-12 Singapore 227977

"Content" means materials, information, advertisements, listing data, input, text, pictures,  graphics, software, webcasts, podcasts, broadcasts, messages, software, comments, suggestions, ideas and other content.

"Condition" means a term or condition of this Agreement.

"IP Content" means all the Content of IP that is made available on or via this Site.

"Link Sites" Is defined in Clause 9

"Materials" means all designs, artwork, photographs, negatives,diskettes, drawing,     chart, graph, audio/audio-visual recording, graphics, user-interface, programming       code, scripts, CGI applications, PHP scripts and software and other materials and            supplies provided for or relating to the Publication of any Advertisement or Amendment or developing/ designing/ hosting of Website.

"Member" means a registered member of the Site.

"Member Conditions" means the terms and conditions applicable to members accessible here.

"Publication" or "Publish" shall include the display, publication, broadcast and dissemination of Advertisements.

"Specified Rate" means IP's rate for the publication of Advertisements.

"Servers" means the computer software, systems and servers hosting, operating, managing, providing or contributing to the Site and the Services.

"Third Party Products' means products and services of third parties advertised on or available at the Site or websites linked from the Site.

"User Content" means all Content on this Site which is created, transmitted, posted or uploaded by a user of the Site.

"Website" means the internet website or micro-site developed, designed and/ or hosted by IP for the Agency/ Advertiser for the duration specified in the Ad Sales Contract.

2. Agreement

2.1 You hereby represent and understand that:

a. you have read and agree to the Terms and Conditions and our privacy policy;
b. you are at least 21 years old and have the necessary legal capacity, right, power and authority to agree to these Terms and Conditions;
c. you are authorized to bind the entity (yourself or your company) on whose behalf you are using the Services and such entity agrees to be bound by these Terms and Conditions;
d. all of the information provided by you to Inspired Publishing (including without limitation personal particulars and contact information) is accurate and complete.

2.2 reserves the right to change, modify, suspend or discontinue the whole or any portion of the Services at any time.

2.3 IP may amend the User Conditions from time to time. Any use of the Service after the amendment of the Terms and Conditions will be deemed to be acceptance of the amended Terms and Conditions by you.  If you do not agree to the amended Terms and Conditions, you have the right to cease using the Services.

3. Site and Service

3.1  The Site is owned and maintained by IP.

3.2 IP may offer the following services on or through the Site (each a "Service" and collectively the "Services")

a. access to a collection of information, data, text, listings, graphics, images, videos, audio files, podcasts, webcasts and other types of works;
b. search engines or tools;
c. an advertising and branding platform;
d. email alerts; and
e. any other features, content or application that IP may offer at the Site from time to time in sole discretion.

3.3 You acknowledge and agree that to access and use certain Services, you will required to register as a Member and additionally shall be bound to strictly comply with the Member Conditions in addition to these User Conditions.

4. User's Obligations

4.1 You shall not reproduce, modify, translate, publish, display, distribute, sell, trade or exploit for any commercial or other purposes, any portion of, any access to:

a. any Service;
b. the Site; or
c. any IP Content except with the prior written consent of IP; or
d. any User Content except with the prior written consent of IP and the owner of the specific User Content, unless you are the sole owner of the specific User Content.

4.2 You also hereby undertake;

a. to comply with these User Conditions, and such other notices or guidelines that may be posted on the Site by IP from time to time (which are hereby incorporated by reference into these User Conditions);
b. not to use any Service or IP Content for any unlawful purpose, and shall comply with all applicable laws and regulations, including without limitation, copyright law;
c. not to hack into, interfere with, or disrupt the Site, Services or Servers; and
d. not to use the Account of another Member at any time, whether with or without his/her permision.

4.3 You acknowledge that the Site and Services are used by a community of users; and you   hereby agree and undertake:

a. not to send or otherwise post unauthorized commercial communications to users (such as spam)
b.not to upload viruses or other malicious code.
c. not to annoy, pester, solicit, offend, abuse, defame, injure, bully, intimidate, or harass any other user, or commit any unlawful or tortious acts against other users;
d. not to post content that is hateful, threatening, pornographic, or that contains nudity or graphic or gratuitous violence.
e. not develop or operate a third party application containing, or advertise or otherwise market alcohol-related or other mature content without appropriate age-based restrictions.
f. not to facilitate or encourage any violations of this Statement.
g. not to harvest or otherwise collect information about users, including email addresses, without IP's prior written consent.
h. Advertise or offer to sell any goods or services for any commercial purpose unless you have our written consent to do so
i. Transmit surveys, contests, pyramid schemes, span, unsolicited advertising or promotional materials or chain letters.
j. Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material
k. Forge headers, manipulate identifiers of other data in order to disguise the origin of any content transmit through IP site, or manipulate your presence on IP site.

4.4 Any infringing, fraudulent, abusive, or otherwise illegal activity shall be grounds for termination of our use of the Site and Services and / or your Account, at IP's sole discretion, and you may be reported to appropriate law-enforcement agencies.

4.5 Without prejudice to IP's rights o termination under Clause ##, IP reserve the right to terminate your Account/or your access to all or any part of the Site or Services if you are in breach of any of these User Conditions or if IP believes that you have been using any of the Services for unlawful activity.

5 Privacy

5.1 Your privacy is very important to us at IP. Before deciding to become a User of 90 Degree, it is advisable to read our full Privacy Policy carefully. lease note that certain information, statements, data and content (such as photographs) which you may choose to provide might, or are likely to, reveal your gender, ethnic origin, nationality, religion and/or sexual orientation, and that you are providing all such information, statements, data and content in full acknowledgment thereof and under your sole responsibility. By providing such information to us, all of which is optional, you are hereby expressly giving your informed consent to the processing by us of such "sensitive" data.

6. Use of IP Content

6.1 All IP Content are the copyrighted work of IP or its content or software providers, and IP reserves and retains all rights in the IP Content. Use of some IP Content may be governed by the terms of an accompanying end user license agreement. You will not be able to download or install any IP Content that is accompanied by or includes an end user license agreement unless you agree to the terms of such end user license agreement. If you do not agree to such terms, you will not be able to use the IP Content.

6.2 You may not decompile, reverse engineer or otherwise attempt to discover the source code of any IP Content available on the Site or through a Service except under the specific circumstances expressly permitted by law.

7. Medical Information Disclaimer

7.1 The Website is not a forum for the exchange of medical information, advice or promotion of self-destructive behaviour (e.g., eating disorder, suicide). While you may freely discuss your troubles, you should not look to the Website for information or advice on such topics. 8.1 YOU ACKNOWLEDGE THAT YOU ARE USING THE WEBSITE AT YOUR OWN RISK. 8.3 YOU HEREBY AGREE TO RELEASE SERVICE PROVIDER, ITS AFFILIATES AND THIRD-PARTY SERVICE PROVIDERS, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED ("CLAIMS"), ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THIS SITE.

9. Links

9.1  IP may provide links to other sites that may be of relevance and interest to users ("Link Sites"). IP has no control over, and is not responsible for the content on the Link Sites or for any damage you may incur from the Link Sites (including any virus, worms errors or harmful components contained in the Link Sites) or the availability of any content on the Link Sites, and you hereby irrevocably waive any claim against us with respect to the Link Sites. Some of these Link Sites may provide you with opportunities to purchase Third Party Products. We do not endorse any of the Third Party Products nor do we make any representations or warranties in connection with any Third Party Products.

10. Intellectual Property

10.1 The copyright, patents and all intellectual property rights in the Services, the Site, and all IP Content, including without limitation the copyright in the compilation of all User Content, shall vest in and remain with IP.

10.2 The trademarks, logos, and service marks ("Marks") displayed on this Site are the property of IP or other third parties, and all rights to the Marks are expressly reserved by IP or relevant third parties. You are not permitted to use the Marks without prior written consent of IP or such third party. Without limiting the generality of the above, "90 degree", "ninety-D.com" and  "90 degree logo" are trademarks of Inspired Publishing Pte Ltd.

11. Editing and Deletions

11.1 IP reserves the right, but undertakes no duty, to review, edit, move or delete any material provided for display or placed on the Website or its bulletin boards, in it sole discretion, without notice.

12. Termination or Suspension of Access to the Website

12.1 IP has the right to terminate and/or suspend your ability to access the website or any portion thereof, for any or no reason, without notice.

13. Jurisdictional issues

13.1 This site is owned and operated by IP. IP makes no representation that the Contents of the Site are appropriate or available for use in your location. Those who choose to access this Site from any location do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

14. Indemnity

 14.1 You agree to indemnify and hold Ip, and its subsidiaries, affiliates, officers, agents, partners, and employees, harmless from all claims, demands, actions, proceedings, liabilities (including statutory liability and liability to third parties), penalties, and costs (including without limitation, legal costs on a full indemnity basis), awards, losses and/or expenses, due to or arising out of:

i. your use of the Site or any Services;
ii. your connection to the Site;
iii. your breach of any terms and conditions of these User Conditions; or
iv. your violation of any rights of another person or entity.

15. Wavier

15.1 A failure by IP to exercise or enforce any rights conferred upon it by these User Conditions shall not be deemed to be a waiver or variation of any such rights or operate so as to bar the exercise or enforcement thereof at any subsequent time or times.

16 Governing Law & Jurisdiction

16.1These User Conditions and all matters relating to your access to, or use of, this Site and the Service shall be governed by and construed in accordance with the laws of Singapore, without giving effect to any principles of conflicts of law.

16.2 You hereby submit to the jurisdiction of the Singapore courts.

 

90Degree MEMBER TERMS AND CONDITIONS

1. REGISTRATION INFORMATION: IP may at times require that you register and/ or set up an account to use certain portions of the Website, or the Website as a whole. In order to do so, you may be provided, or required to choose, a password, User Id, and/or other registration information (collectively, "Registration Information"). You agree and represent that all Registration Information provided by you is accurate and up-to-date. You may not impersonate, imitate or pretend to be somebody else when registering and/or setting up an account on the Website. If any of your Registration Information changes, you must update it by using the appropriate update mechanism on the Website, if available

2. Use of User ID/PASSWORD

2.1 If you register and/or set up an account on the Website, you will be solely responsible for maintaining the confidentiality of your Registration Information. You may not authorize others to use your Registration Information. You may not sub-license, transfer, sell or assign your Registration Information and/or this Agreement to any third party without our written approval. Any attempt to do so will be null and void and shall be considered a material breach of this Agreement.

2.2 You are solely responsible for all usage or activity on your account including, but not limited to, use of the account by any person who uses your Registration Information, with or without authorization, or who has access to any computer on which your account resides or is accessible.

2.3 If you have reason to believe that your account is no longer secure (for example, in the event of a loss, theft or unauthorized disclosure or use of your Registration Information or any credit, debit or charge card number stored on the Website), you must promptly change the affected Registration Information by using the appropriate update mechanism on the Website, if available, or notify us using our Contact page.

3. Evidence

3.1 You hereby agree that:

3.1.1 All records of IP relating to the Services, your use or access of the Services or the Site, your Account, your particulars, any Content, or this Agreement (collectively "Records"), though in electronic form, are written documents, and you shall not dispute or challenge the validity or enforceability of any Record on the grounds that it is not a written document, is in electronic form, or was produced by or is the output of a computer system, and you hereby waive any such right you may have at law; and

3.1.2 the Records, though in electronic form, are original documents, and you will not challenge the admissibility of any Record on the grounds that it is made in electronic form.

4. FEES AND PAYMENT

4.1 IP or third parties may charge you fees for products or services offered for sale through the Website, and/or for access to portions of the Website or the Website as a whole. You agree to pay all fees and charges, including applicable taxes, incurred through your account at the rates in effect for the billing period in which such fees and charges are incurred, including but not limited to charges for any products or services offered for sale through the Website by IP or by any third party vendor or provider (such fees, charges and taxes shall collectively be referred to as "Fees"). IP reserves the right to change the amount of, or basis for determining, any Fees, and to institute new Fees, effective upon prior notice to you.

4.2. If you submit your credit, debit or charge card information to IP upon registration or otherwise, you give IP permission to charge all Fees incurred through your account to the credit, debit or charge card you designate. Any additional Fees (other than renewal fees) will be charged at the time they are incurred. If payment cannot be charged to your credit, debit or charge card or your payment is returned to IP for any reason, including charge back, IP reserves the right to either suspend or terminate your account and all its obligations under this Agreement
